1. SCOPE AND DEFINITIONS
1.1. Legal Classification (The "Safe Architecture").
PinkCoins are non-redeemable prepaid platform credits used solely to obtain digital services within a closed ecosystem.
(a) License, Not Money: PinkCoins represent a limited, revocable, non-transferable prepaid contractual right to access specific functionality (e.g., compute time, marketplace assets) within the Provider’s Platform.
(b) Service Prepayment Only: PinkCoins are issued solely for the purpose of facilitating the prepayment of services and do not function as a general payment instrument.
(c) Not Property: PinkCoins constitute a contractual license only and are not personal property, digital property, or a transferable asset. You acquire no ownership interest in the PinkCoins themselves, only the right to use them.
(d) No Monetary Value: PinkCoins have no monetary value outside of the Provider’s infrastructure. They constitute a measurement of service consumption, not a stored value, e-money, or financial claim against the Provider. PinkCoins function solely as an internal service metric representing the quantity of digital services the User may consume.
(e) Closed Loop: The PinkCoin system is a "Closed Loop" environment. PinkCoins are issued exclusively by the Provider and cannot be obtained from or redeemed through any third party. Credits cannot be transferred to third parties, used for payments outside the Platform, or exchanged for fiat currency.
1.2. Not a Financial Instrument.
Your Credit Balance is NOT a bank account, e-wallet, or deposit account.
(a) No Insurance: Funds used to purchase PinkCoins are not insured by any government agency (e.g., FDIC, DIC) or covered by deposit protection schemes.
(b) No Custody: Funds received in exchange for PinkCoins become the property of the Provider upon receipt and are not held on behalf of the User. The Provider is not a custodian, escrow agent, or fiduciary with respect to your Credit Balance. The Provider is under no obligation to safeguard, segregate, or ring-fence such funds from its general operating accounts.
(c) No Interest/Investment: You will not receive interest, dividends, or any other earnings. PinkCoins are not intended for investment purposes and you should not purchase them with any expectation of future price stability or appreciation.
2. ACQUISITION AND PRICING
2.1. Purchasing Credits.
(a) Pricing Convenience: PinkCoins are typically priced to approximate the value of 1 EUR solely for pricing convenience within the Platform. However, the Provider reserves the sole discretion to determine pricing and conversion rates at the time of purchase. We do not guarantee a strict 1:1 exchange rate or parity with any fiat currency.
(b) FX Buffer: Currency conversion rates used for PinkCoin purchases may include administrative or processing spreads determined by the Provider. You acknowledge that the rate applied may differ from the daily ECB (European Central Bank) rate.
(c) Final Sale: All purchases of PinkCoins are FINAL and NON-REFUNDABLE, except where explicitly required by applicable consumer protection law. Once you purchase Credits, the transaction is complete; you cannot "withdraw" the funds later.
2.2. Promotional Credits.
We may grant "Promotional PinkCoins" (Bonus Credits) for marketing purposes.
(a) Distinction: Promotional Credits are distinct from Purchased Credits. They have zero cash value, cannot be refunded, and may be subject to a shorter expiration period (e.g., 30 days) than Purchased Credits.
(b) Usage Priority: The System will automatically consume Promotional Credits before Purchased Credits.
2.3. Not Mandatory.
You acknowledge that purchasing PinkCoins is optional. The Provider allows direct payment methods (e.g., Credit Card) for most Services without the requirement to preload a Credit Balance.
3. USAGE AND RESTRICTIONS
3.1. Permitted Use.
PinkCoins may be used solely to redeem:
(a) Infrastructure: Hosting plans, compute instances, storage, and domains.
(b) Marketplace Assets: Software licenses, prompts, or workflows listed in the Reactor Marketplace.
(c) API Consumption: Pay-as-you-go usage of Provider APIs.
3.2. Prohibited Use (Anti-Laundering).
To prevent money laundering (AML) and regulatory risk, you may NOT:
(a) Transfer to Users: You cannot send, gift, or transfer PinkCoins to another User’s account ("Peer-to-Peer" banning).
(b) Secondary Market: You cannot sell, trade, or exchange PinkCoins on third-party exchanges or for crypto-assets.
(c) Cash Out: You cannot withdraw PinkCoins to a bank account, credit card, or crypto-wallet. PinkCoins are "consumed" upon use; they never convert back to cash.
(d) Commercial Resale: PinkCoins may not be purchased for resale, brokerage, arbitrage, or any commercial redistribution.
3.3. Fraud Protection & Chargebacks.
To protect the Platform from fraud and technical errors:
(a) Chargeback Penalty: If a payment used to purchase PinkCoins is reversed, charged back, or deemed fraudulent, the Provider may immediately remove the associated Credits and suspend the Account. You agree to reimburse the Provider for any fees incurred from such chargebacks.
(b) Negative Balance Protection: The Provider reserves the right to suspend Accounts with negative balances and recover outstanding amounts through lawful collection methods.
(c) Unilateral Revocation: The Provider reserves the right to suspend, revoke, or invalidate PinkCoins obtained through fraud, abuse, system error, or in violation of these Terms.
(d) System Error Correction: The Provider reserves the right to correct pricing errors, credit misallocations, or system malfunctions. Credits granted due to technical error may be removed without compensation.
3.4. Value & Pricing Discretion.
PinkCoins have no fixed or guaranteed value and may be re-denominated, re-priced, or discontinued at the Provider’s discretion. The Provider does not guarantee that the cost of services (in PinkCoins) will remain stable. The User acknowledges that PinkCoins are not intended to preserve purchasing power.
4. EXPIRATION AND INACTIVITY
4.1. Expiration Policy.
To prevent the indefinite accumulation of dormant liabilities ("Breakage"):
(a) Inactivity Rule: If your Account is inactive (no logins or transactions) for twenty-four (24) consecutive months, the Provider may expire your PinkCoin Balance where permitted by applicable law.
(b) Notification: We will attempt to notify you via the email address on file at least 30 days prior to expiration.
(c) Forfeiture: Expired Credits are permanently removed from your Balance and cannot be recovered or refunded.
4.2. Non-Transfer on Death/Closure.
PinkCoins are non-transferable and cannot be inherited, assigned, or otherwise transferred by operation of law (e.g., upon death, divorce, or business dissolution). In the event of Account closure or User death, any remaining Balance is forfeited, subject to applicable law.
5. MODIFICATION AND TERMINATION
5.1. Regulatory Reclassification.
The Provider reserves the right to modify, suspend, or discontinue the PinkCoin system if required to comply with applicable financial, payment, or regulatory obligations. We make no warranty that the PinkCoin system will remain compliant with future regulations in all jurisdictions. Users are solely responsible for ensuring that their use of PinkCoins is lawful in their jurisdiction.
5.2. No Guarantee of Continued Availability.
The Provider does not guarantee the continued availability of PinkCoins and reserves the right to replace the credit system with alternative billing mechanisms at its sole discretion.
5.3. Termination of Account.
If your Account is terminated for a violation of the Terms of Service (e.g., fraud, abuse, non-payment):
(a) Forfeiture: Your entire PinkCoin Balance may be immediately forfeited. You are not entitled to a refund or compensation for lost Credits upon termination for cause.
5.4. Insolvency.
In the unlikely event that the Provider ceases operations or enters bankruptcy:
(a) No Priority Claim: PinkCoins do not represent deposits and are not guaranteed obligations. In an insolvency scenario, the treatment of outstanding Credits will be subject to applicable bankruptcy law and may be treated as unsecured general creditor claims.
