1. SCOPE AND DEFINITIONS
1.1. Purpose.
These Collaboration & Workspace Governance Terms ("Collaboration Terms") govern the creation, management, and sharing of digital environments ("Workspaces") within the Pinkdude Platform. They define the rights, responsibilities, and hierarchy of Users who collaborate on software, infrastructure, data, and digital assets.
1.2. The "Container" Concept.
The Platform is structured around "Workspaces" (also referred to as Organizations or Teams). A Workspace is a distinct digital container that holds resources (e.g., servers, code repositories, databases, PinkCoin balances).
(a) Single Ownership: Every Workspace must have a single, definitive "Workspace Owner" (the "Owner").
(b) Resource Inheritance: All assets, data, and intellectual property created within or uploaded to a Workspace are deemed to be under the control of the Workspace Owner, regardless of which individual User technically authored the code or uploaded the file.
1.3. User Roles.
(a) Workspace Owner: The individual or entity who controls the billing account and holds ultimate administrative authority.
(b) Administrator: A User designated by the Owner to manage the Workspace. Admins act as agents of the Owner.
(c) Collaborator/Member: A User invited to the Workspace with limited permissions (e.g., read, write, deploy).
1.4. No Partnership or Joint Venture.
The Provider is not a party to any partnership, joint venture, employment relationship, agency, or business arrangement created or facilitated between Users through the use of Workspaces. We provide the infrastructure; we do not broker or underwrite your business relationships.
1.5. Infrastructure-Only Role.
The Platform provides technical infrastructure for collaboration only and does not manage, supervise, control, or participate in Users’ projects, decisions, or business operations.
(a) Not Your IT Department: The Provider does not act as the User’s internal IT department, security team, compliance officer, or records custodian. Users are solely responsible for managing their own internal security policies and data governance.
1.6. No Fiduciary Duty.
The Provider owes no fiduciary duties to Users regarding Workspace governance or access decisions. We are not a trustee, escrow agent, or legal guardian of your business interests.
2. WORKSPACE OWNERSHIP AND CONTROL
2.1. The Golden Rule of Ownership.
The Workspace Owner retains ultimate authority over the Workspace and all Content contained therein.
(a) Ultimate Administrative Authority: The Owner has the ultimate administrative authority to grant, modify, suspend, or revoke access to any Administrator or Collaborator at any time, for any reason, without notice.
(b) No Reliance on Continued Access: Users acknowledge that access to a Workspace may be revoked at any time by the Workspace Owner. Users must not rely on continued access for business operations, income generation, or preservation of intellectual property.
(c) Data Control: The Owner acts as the "Controller" of all data within the Workspace. Collaborators acknowledge that they have no independent ownership rights to data stored in a Workspace owned by another party.
2.2. Agency and Employment Firewall.
The Provider has no obligation to verify employment relationships, contractor status, or internal authority structures.
(a) No Verification: We do not check employment contracts or NDAs. If a Workspace Owner grants access to a User, we assume that User is authorized to act.
(b) Corporate Disputes: If a User claims they were "wrongfully terminated" or "illegally locked out" of a Workspace by the Owner, the Provider will not intervene. We recognize only the permissions set inside the Platform.
2.3. Enterprise Accounts.
If a Workspace is created using a corporate email domain (e.g., admin@acme-corp.com) or paid for by a corporate entity:
(a) Entity Ownership: The Workspace is deemed to be owned by the legal entity associated with the domain or payment method, not the individual employee who registered the account.
(b) Recovery: In the event of a dispute, the Provider reserves the right (but not the obligation) to transfer control of such a Workspace to an authorized officer of the corporate entity upon receipt of valid legal proof (e.g., a court order or formal board resolution) and in our reasonable discretion.
2.4. Automatic Contribution License.
To prevent "IP hostage" scenarios:
By contributing content (code, data, designs, or assets) to a Workspace owned by another party, the User automatically grants the Workspace Owner a perpetual, irrevocable, worldwide, non-exclusive, sublicensable, royalty-free, fully paid-up license to use, reproduce, modify, distribute, display, and commercialize such contributions for any purpose. This license survives the termination of the User’s account or their removal from the Workspace.
3. ROLES, PERMISSIONS, AND SECURITY
3.1. Delegated Authority.
Access rights granted to Collaborators are limited, revocable permissions.
(a) Admin Liability: The Workspace Owner is fully responsible for the actions of their appointed Administrators. If an Admin deletes production data or steals code, the Owner bears the liability.
(b) Least Privilege: It is the Owner’s sole responsibility to enforce the principle of "Least Privilege." The Provider is not liable for damages resulting from an Owner granting excessive permissions (e.g., "Full Admin") to a contractor or temporary employee.
3.2. Technical Permissions Disclaimer.
Platform roles, permissions, and administrative designations (e.g., "Admin," "Owner," "Viewer") reflect technical configuration only and do not create or transfer legal ownership rights in any data, intellectual property, or business assets. The fact that a User is marked as an "Admin" in the UI does not make them a legal owner of the company or its data.
3.3. Activity Logging.
(a) Audit Trails: The Platform may provide activity logs (e.g., "User X deleted File Y").
(b) No Guarantee: These logs are provided "as is" for convenience. They may not constitute a forensic-grade chain of custody suitable for legal proceedings. The Provider does not guarantee the retention or immutability of logs unless a specific "Compliance Archiving" service is purchased.
3.4. Credential Security.
Sharing login credentials (password sharing) is strictly prohibited.
(a) Named Seats: Each Collaborator must have their own unique Account.
(b) MFA: We strongly recommend mandating Multi-Factor Authentication (MFA) for all Workspace members. The Provider is not responsible for unauthorized access resulting from compromised User credentials.
4. DISPUTE RESOLUTION (THE "NO ARBITER" CLAUSE)
4.1. Provider Neutrality.
The Provider is not a mediator, arbitrator, or judge in disputes between Users.
(a) Ownership Disputes: In the event of a dispute regarding the ownership of a Workspace (e.g., between co-founders, or agency vs. client), the Provider will rely solely on the current technical settings of the Workspace and the identity of the Billing Owner.
(b) No Freeze: We will NOT freeze a Workspace or restrict the Owner’s access based on a mere complaint or email from a third party. We will only alter access controls if compelled by a binding court order from a competent jurisdiction.
4.2. Data Export Disputes.
(a) Hostage Situations: If a Workspace Owner refuses to allow a Collaborator to export their personal data or code, the Collaborator’s remedy is against the Owner, not the Provider.
(b) No Backdoor Access: The Provider will never bypass the Owner’s permissions to grant a Collaborator access to data, even if that Collaborator claims to be the "true author" of the content.
5. EMERGENCY CONTROLS AND PLATFORM RISK
5.1. Right to Suspend.
The Provider reserves the right, in its sole discretion, to restrict access, suspend collaboration features, or freeze a Workspace where reasonably necessary to prevent fraud, security threats, legal exposure, or platform harm.
(a) Owner Abuse: The Provider may intervene, in its sole discretion, where a Workspace Owner’s actions create security risk, legal exposure, or platform instability. We reserve the right to override Owner permissions to mitigate imminent threats to the Platform.
(b) Ransomware/Insider Threat: If we detect anomalous behavior indicating a "scorched earth" attack (e.g., rapid deletion of all assets), we may temporarily lock the Workspace to protect data, but we assume no liability for failing to do so.
5.2. Automation Safe Harbor.
Certain Workspace protections (e.g., spam filtering, threat detection, anomaly blocking) may be executed through automated systems. The Provider is not liable for actions taken by such systems in good faith to protect the Platform or its Users.
5.3. Off-Boarding.
Upon termination of a User’s access to a Workspace (whether by the Owner or the User leaving):
(a) No "Take Backs": A departing User does not have the right to "withdraw," revoke, or delete their contributions from the shared environment, to the maximum extent permitted by law.
5.4. No Guarantee of Service Continuity.
Workspaces are provided on an evolving platform. The Provider does not guarantee that any collaboration feature, configuration, or service will remain available indefinitely. Users must not rely on the Platform as a permanent archive or immutable infrastructure.
6. LIMITATION OF LIABILITY
6.1. Internal Governance.
THE PROVIDER IS NOT RESPONSIBLE FOR THE INTERNAL DATA GOVERNANCE, PERMISSION MANAGEMENT, OR HR POLICIES OF THE USER.
We are not liable for:
(a) Accidental Deletion: Data loss caused by an Admin or Collaborator deleting files.
(b) Data Theft: Intellectual property theft committed by a rogue employee or contractor with valid credentials.
(c) Misconfiguration: Security breaches resulting from incorrectly configured permissions (e.g., making a private repo public).
6.2. Forced Self-Backup.
Users are solely responsible for maintaining independent, off-platform backups of critical data. Collaboration environments are active working directories, not compliant archival storage systems, unless explicitly stated in a separate Order Form. The Provider shall not be liable for any loss of data shared between Users.
6.3. No Preservation Obligation.
The Provider has no obligation to preserve, maintain, or guarantee the integrity of Workspace data unless expressly required under a separate paid agreement. We are not a digital vault for your business history.
