(a) Core Software (Free Tier): The base accounting and business management software is provided free of charge on a "Self-Managed" basis.
(b) Paid Integrations (Extensions): Connectors, plugins, and API bridges that link the Core Software to third-party platforms (e.g., WooCommerce, PrestaShop, OpenCart, Banking APIs) or the Provider's internal CMS are Paid Services subject to subscription fees.
1.3. Self-Managed Nature.
You acknowledge that the Software is a "Self-Managed" tool.
(a) User Control: You are solely responsible for the input, configuration, classification, and accuracy of all financial data.
(b) No Professional Advice: The Provider is not a Chartered Accountant, Tax Advisor, Financial Fiduciary, or Legal Counsel. The Software is a data processing tool, not a substitute for professional financial advice.
1.4. No Filing or Compliance Duty.
The Provider is not responsible for filing tax returns, submitting VAT reports to authorities, or ensuring regulatory compliance.
(a) Informational Use Only: Any reports, balance sheets, or payroll exports generated by the Software are for informational purposes only.
(b) Customer Obligation: You are solely responsible for verifying the accuracy of such reports and timely filing them with the appropriate government agencies (e.g., IRS, HMRC, Tax Authorities).
1.5. No Fiduciary Relationship.
Nothing in these Terms creates a fiduciary, advisory, or trust relationship between Provider and Customer. The Provider’s role is strictly limited to that of a software provider. Customer expressly assumes all risks associated with the use of the Software for financial management.
2. "AS IS" WARRANTY DISCLAIMER (CRITICAL)
2.1. The "Zero Warranty" Clause.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE CORE SOFTWARE IS PROVIDED "AS IS" AND "WITH ALL FAULTS," WITHOUT WARRANTY OF ANY KIND.
(a) No Accuracy Guarantee: The Provider does not warrant that the Software will be error-free, that calculations (including Tax/VAT) will be accurate for your specific jurisdiction, or that the Software will meet your specific accounting standards (e.g., GAAP, IFRS).
(b) Software Bugs: You acknowledge that software inevitably contains bugs. You accept the risk that a bug may result in calculation errors or data discrepancies. It is your responsibility to verify all output before submitting it to tax authorities or financial institutions.

3. FINANCIAL DATA RESPONSIBILITY
3.1. Customer as Controller.
(a) Data Entry: You are solely responsible for the accuracy of the data entered into the system (e.g., invoice amounts, customer details, stock levels). The Provider does not verify your inputs.
(b) Record Retention: The Software is not a compliant archive for legal record retention purposes. You agree to maintain independent, permanent copies of all invoices, receipts, and financial records as required by your local laws.
3.2. Backup Obligation.
(a) No Liability for Loss: Since the software is Self-Managed, the Provider is not responsible for backing up your financial data.
(b) Your Duty: You must perform regular exports or backups of your database. In the event of a server failure or data corruption, the Provider cannot recover your lost invoices or ledger entries.
3.3. System of Record Disclaimer.
The Software is not intended to serve as the Customer’s official system of record.
(a) Independent Ledgers: Customer is solely responsible for maintaining independent books, ledgers, and records in compliance with applicable accounting and tax laws.
(b) Reliance: Relying solely on the Software as the primary or only repository of financial data is a violation of these Terms and is done at the Customer's own risk.
4. PAID INTEGRATIONS AND PLUGINS
4.1. Integration Functionality.
Paid plugins (e.g., WooCommerce Connector) are designed to function with the current versions of third-party software.
(a) Third-Party Changes: We do not guarantee continued compatibility if a third party (e.g., WooCommerce, PayPal) changes their API, breaks backward compatibility, or revokes access.
(b) Breaking Changes: If a third-party update breaks a Paid Integration, we will use commercially reasonable efforts to update our plugin, but we are not obligated to do so immediately or at all if the third party has removed necessary functionality.
4.2. No Refunds for Incompatibility.
Fees paid for Integrations are non-refundable, even if:

(c) Illegal Trade: Managing inventory or finances for illegal goods (e.g., narcotics, weapons without license).
5.2. Kill-Switch for Abuse.
The Provider reserves the right to immediately suspend your access to the Software and report your account to relevant authorities if we reasonably suspect the Software is being used for financial crimes.
5.3. Not Designed for High-Risk Use.
The Software is not designed for use in environments requiring fail-safe financial controls or real-time regulatory reporting where errors could lead to material financial harm (e.g., hedge fund accounting, payment institution ledgers, or cryptocurrency exchanges).
6. LIMITATION OF LIABILITY (ACCOUNTING SPECIFIC)
6.1. Cap on Damages.
(a) Free Software: FOR THE FREE CORE SOFTWARE, THE PROVIDER’S TOTAL LIABILITY IS LIMITED TO ZERO EUROS (€0.00).
